The regulation of the Single Market for Financial Services calls for enchanced harmonisation of rules and day-to-day regulatory practices. Following the Resolutions of the European Council and of the European Parliament endorsing the Lamfalussy Report, the Committee of European Securities Regulators (CESR) is asked to advise the EU Commission in the preparation of implementing measures of EU Directives. In excerising this role, CESR is committed to work in an open and transparent manner and widely consult practitioners, end-users and consumers as stated in its Public Statement on Consultation Practices (Ref. CESR/01-007b).In addition to this, a Market Participants Consultative Panel ("the Panel") is established to assisst CESR in the performance of its functions. | |||

CESR releases today a consultation paper on possible detailed technical measures needed to implement the proposed Directive on Prospectus to be published when securities are offered to the public or admitted to trading (Ref. CESR/03-162 and Annexes). The consultation paper released today addresses the technical advice required by 30 September 2003. The measures cover: format of the prospectus; disclosure requirements; annual information. The deadline for submitting responses to the consultation paper is 12 August 2003. CESR publishes today an additional consultation paper (CESR/03-210b and annexes) on possible draft technical measures to implement the Prospectus Directive. The proposed measures would need to be met when securities are offered to the public or admitted to trading. The proposed measures to implement the Prospectus Directive include: minimum disclosure requirements for securities issued by EU Member States, Non-EU States and their regional or local authorities and proposals regarding the dissemination of advertisements in relation to an offer of securities to the public or the admission to trading. CESR invites responses to the consultation paper. These should be received by 30 October 2003 to enable comments to be fully considered. This will shape the basis of CESR's final submission to the European Commission requested by 31 December 2003. Responses should be addressed by e-mail to Mr Fabrice Demarigny, Secretary General of CESR at secretariat@europefesco.org. A public hearing will be held in Paris on 9 October 2003 at the CESR offices. CESR releases today its advice on draft technical measures to implement the Directive on Prospectus (Ref. CESR/03-208 and Annexes), accompanied by a Feedback Statement on the consultation (Ref. CESR/03-209). The proposed measures would need to be met when securities are offered to the public or admitted to trading and responds to a request from the European Commission for technical advice by 31 July 2003. In particular, the advice submitted by CESR will propose the provision of standardised information across the EU for issuing companies to disclose to investors. The Committee of European Securities Regulators (CESR) released today the Advice on the Second Set of Implementing Measures for the Market Abuse Directive (Ref. CESR/03-212c), to be taken into account by the European Commission following the Market Abuse Directive. This Directive has to be implemented by Member States by October 2004. The implementing measures covered by the advice include: Guidelines for determining accepted market practices; inside information on commodity derivative markets; the maintenance of insider lists by issuers; the disclosure of transactions by senior managers; the obligation by financial intermediaries to report suspicious transactions. The work on the advice was undertaken by the CESR Expert Group on Market Abuse under the Chairmanship of Professor Stavros Thomadakis, Chairman of the Hellenic Capital Market Commission. | |||
